Terms and conditions of use

1. General information

These Terms govern access to and use of the B2B Sedeclick platform (sedeclick.com) for automating workflows in Spanish gestorías (the “Service” or “Platform”).

By registering, accessing, or using the Platform, the user (Gestoría or B2B Client) agrees to be bound by these Terms.

Owner: the Platform is owned and operated by SedeClick LLC, with registered address at Albuquerque, NM 87110, United States (“Sedeclick”).

Sedeclick is the technology provider granting a software licence. When commercial subscription billing becomes available, payments will be processed through an external Merchant of Record; details will be published before billing is activated.

2. Nature of the service and artificial intelligence

Sedeclick is B2B assistive software that automates reading, extraction, and preliminary validation of immigration and tax documents.

Hybrid architecture: (a) multimodal LLM perception layer for OCR extraction and JSON output with field_evidence; (b) deterministic rule engine for Pass/Fail validation without AI deciding outcomes.

AI does not make legal or administrative decisions or assess case viability. Regulatory adequacy hints are informational only.

3. Human verification (human-in-the-loop)

The Service is designed for professionals (gestorías). AI systems may be imprecise; the Platform provides field_evidence to support review.

The Gestoría must humanly verify all extracted and validated data before any submission to public authorities.

4. Disclaimer and limitation of liability

The Platform is provided “as is” and “as available”. Sedeclick does not guarantee 100% accuracy or uninterrupted availability.

Sedeclick does not provide legal advice. It is not liable for administrative denials or delays, fines imposed on the User or end clients, or indirect damages from OCR/AI errors or failure to verify by the Gestoría.

To the maximum extent permitted by law, Sedeclick’s total liability is limited to fees paid for the Service in the 3 months preceding the event giving rise to the claim (when active billing exists).

5. Intellectual property

Sedeclick code, algorithms, interfaces, and databases are the exclusive property of SedeClick LLC.

A limited, non-exclusive, non-transferable, revocable licence is granted while the Gestoría maintains active access under its contract or trial period.

6. Permitted use

Professional B2B use by authorised gestorías.

Uploading malware, false data, or third-party documents without legal basis is prohibited, as is unauthorised access or abuse.

7. Governing law and jurisdiction

These Terms are governed by the laws of Spain.

The parties submit to the exclusive jurisdiction of the courts of Madrid, without prejudice to mandatory rules.
